Your access to and use of this website (https://www.darit.tech), as well as all related websites operated by 9374-0587 Québec inc., known as "DARIT technologies" (the "Company")  (collectively the " Site") is subject to the following terms and conditions ("Terms of Use") and all applicable laws. By accessing and browsing the Site, you accept, without limitation or qualification, the Terms of Use and acknowledge that any other agreements between you and the Site are superseded and of no force or effect:

Ownership of the Site and Content; Limited License. You agree that the Site itself, as well as all content made available on or through the Site, including without limitation text, data, product and service descriptions, technical documentation, datasheets, news, press releases, graphics, videos, photographs, audio, designs, trademarks and logos, and the overall look and feel of the Site (collectively, the “Content”), are owned by the Company and/or its licensors or suppliers and are protected by applicable intellectual property laws, including copyright, unless otherwise noted. For clarity, Content excludes only materials that you provide to the Company, if any.

Subject to your compliance with these Terms of Use, the Company grants you a limited license, which is non-exclusive, non-transferable, and non-sublicensable, to access, view, and use the Site and the Content solely for internal business and informational purposes.

Except as expressly permitted under these Terms of Use, you may not copy, reproduce, modify, translate, publish, republish, upload, post, transmit, distribute, publicly display, create derivative works from, or otherwise exploit any Content, in whole or in part, without the Company’s prior written consent. Any unauthorized use of the Content may violate copyright, trademark, and other proprietary rights of the Company and/or its licensors and may result in civil liability and other remedies available at law or in equity.

Company Names; Logos; Publicity Rights; Notice of Infringement. The Site may display the Company’s business names, trade names, product or service names, logos, and other brand identifiers, including without limitation "DARIT", "DARIT Technologies", "Rempart", "Citadel" and "Auris" (collectively, the “Company Names”). The Company Names are used by the Company and may be protected under applicable laws, including trademark and unfair competition laws.

In addition, any images, likenesses, and biographical information of individuals displayed on the Site are protected by applicable privacy and publicity rights and may not be used without authorization.

Except as expressly permitted under these Terms of Use, nothing in these Terms of Use or on the Site grants you any right or license (whether by implication or otherwise) to use any Company Names or other proprietary materials without the Company’s prior written consent or, as applicable, the consent of the relevant third-party owner. Any unauthorized use may violate intellectual property laws and/or privacy/publicity laws and may result in liability.

The Company respects the intellectual property rights of others and may, in its sole discretion and without notice, remove or disable access to content it believes to be unlawful or infringing.

If you believe that content available on the Site infringes your intellectual property rights, please notify the Company at [email protected] and include: (i) your name and contact information; (ii) a description of the work or right allegedly infringed; (iii) sufficient information to identify the allegedly infringing material and its location (URL); (iv) any relevant registration information (if applicable); and (v) any other information you consider relevant.

 

  1. Social Media Pages. The Company may maintain official pages on third‑party platforms (such as LinkedIn). Content posted on those pages is owned by the Company and/or its licensors (as applicable) and is protected by intellectual property laws. Any use of such content is subject to the applicable third‑party platform terms and policies. For clarity, sharing, reposting, or commenting through the platform’s native features is permitted to the extent allowed by that platform; however, any reproduction, extraction, modification, or commercial use of such content outside of the platform (or beyond what the platform permits) requires the Company’s prior written consent.

Accuracy of Information. While the Company uses reasonable efforts to include accurate and up-to-date information in the Site, the Company makes no warranties or representations as to its accuracy. The Company assumes no liability or responsibility for any errors or omissions in the content of the Site.

Electronic Communications. By providing your email address to the Company (including by submitting an inquiry or requesting a datasheet through the Site), you consent to receive communications from the Company electronically (including by email) regarding your request and related administrative or transactional matters.

Feedback (Unsolicited Submissions). If you send the Company any comments, suggestions, ideas, or other feedback regarding the Site or the Company’s products or services (collectively, “Feedback”), you acknowledge that such Feedback is provided on a non-confidential basis unless the Company expressly agrees otherwise in writing. You grant the Company a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and otherwise exploit the Feedback for any purpose, without compensation or attribution to you.

Security of Communications. The Company uses commercially reasonable measures to protect the Site and its communications; however, no website, email transmission, or Internet communication is completely secure. You acknowledge that information transmitted to the Company through the Site or by email may be intercepted or accessed by unauthorized third parties. The Company may disclose personal information where required or permitted by applicable law, to protect its rights, or to service providers acting on its behalf in accordance with the Privacy Policy.

The Company will provide you with notice of any claim for which it seeks indemnification (to the extent reasonably practicable), and you agree to cooperate as reasonably requested.

Third‑Party Beneficiaries. These Terms of Use are intended for the benefit of the Company and its subsidiaries, affiliates, licensors, suppliers, and third‑party content providers, each of which is an intended third‑party beneficiary of these Terms of Use and may enforce them directly against you.

Applicable Laws. These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law. You hereby irrevocably submit to the exclusive jurisdiction of the courts of the Province of Québec, judicial district of Montréal. If any provision of these Terms of Use shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
